This Software-as-a-Service Subscription Agreement (“Agreement”) is entered into by and between Checkypro (“Provider”) and the subscribing merchant (“Subscriber”) and governs Subscriber’s access to and use of the Checkypro software platform (“Platform”).
This Agreement supplements the Terms of Service and governs all paid and unpaid use of the software.
Checkypro provides access to a cloud-based platform that consists of two main services:
Checkout: A customizable, high-conversion checkout experience, hosted on the merchant’s domain, with direct integrations to PSPs such as Stripe, PayPal, Viva Wallet, and Airwallex
Payments: A white-labeled payment processing layer powered by licensed acquirers such as Rapyd and Payabl
The Platform includes:
A merchant dashboard
Real-time analytics and reporting
Fraud and chargeback tools
Technical support via email and in-app channels
Subject to payment of applicable fees, Checkypro grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the operation of Subscriber’s own e-commerce business.
Subscriber may not:
Reproduce, resell, or sublicense the Platform
Reverse engineer or copy source code
Use the Platform for third-party client processing without written approval
€5 weekly flat fee per store
A percentage of transaction volume processed through the Checkout (rate defined per merchant)
Collected weekly via Stripe
All payment processing fees (e.g. card fees, FX markup) are withheld directly by the licensed payment partners (e.g. Rapyd, Payabl) at the point of settlement
Checkypro does not collect these fees or issue invoices for payment processing
This Agreement is effective upon activation of the merchant account and continues until terminated by either party.
The Subscriber may terminate at any time via the dashboard. Upon cancellation, the license is revoked and access to the platform is disabled at the end of the billing cycle.
Checkypro may suspend or terminate access immediately if:
The Subscriber breaches this Agreement or any linked policy
The Subscriber engages in prohibited or fraudulent activity
Required payments are overdue or declined
A Payment Partner revokes or suspends the merchant’s account
All merchant and customer data processed through the Platform remains the property of the Subscriber.
Checkypro agrees to:
Maintain confidentiality of all non-public information
Protect data using reasonable technical and organizational security measures
Only access merchant data for the purposes of service delivery, fraud prevention, or compliance support
Use of the Platform is also subject to the [Data Processing Agreement].
Checkypro aims to maintain 99.9% uptime for its core services, excluding planned maintenance. Support is available during standard business hours via email or support tickets.
Checkypro is not responsible for downtime or service issues caused by third-party payment providers, Shopify, or the merchant’s infrastructure.
All intellectual property in the software, platform, branding, documentation, and integrations remains the exclusive property of Checkypro.
Subscriber retains full ownership of their store content, brand assets, and customer data.
Checkypro provides the platform “as is” and makes no warranties regarding uptime, conversion rates, or error-free functionality.
Checkypro is not liable for:
Lost revenue due to payment issues, chargebacks, or fraud
Failures of third-party systems or integrations
Indirect or consequential damages
Liability is limited to the total amount paid by the Subscriber to Checkypro in the preceding 12 months.
This Agreement is governed by Dutch law. Any disputes shall be submitted to the competent court in Amsterdam, unless otherwise required by applicable law.
